GOPADDI PERSONAL USERS TERMS OF USE

The Terms of Use (“Terms”) constitute a binding legal agreement between you, as an 

individual end-customer (“User”, “you”, “your”) and the relevant Gopaddi 
Contracting Entity (as defined below) within the Gopaddi group (together, 
“Company”, “we”, “us” or “our”) for your access to and use of the Services.

PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE 
SERVICES. Your use of and access to Gopaddi’s websites, desktop and mobile 
applications, Services, and associated software and documentation is conditioned upon 
your compliance with and acceptance of these Terms.

BY USING OR ACCESSING THE SERVICES, YOU AGREE TO BE BOUND BY THESE 
TERMS. If you do not agree, do not use or access the Services. We may update these 
Terms from time to time. The most current version will be available on or through the 
Services, and your continued use constitutes acceptance of the updated Terms.

1. DEFINITIONS

In these Terms:

1.1 “Account” refers to an individual user profile created on the Operating System, 
which allows you to access and use the Services.

1.2 “Company” means the Gopaddi Contracting Entity, acting for itself and, where 
relevant, on behalf of the Gopaddi Group to the extent these Terms permit affiliates to 
perform certain obligations or exercise certain rights.

1.3 “Company Services” means the SaaS, marketplace, and technology services 
provided by Gopaddi via the Operating System to enable Users to discover, compare, 
book, purchase, and manage Supplier Services.

1.4 “Gopaddi” means Gopaddi Technologies Corp and any of its present and future 
affiliates, branches, subsidiaries, assignees, or successors worldwide.

1.5 “Gopaddi Contracting Entity” means the specific member of the Gopaddi Group 
identified as your contractual counterparty. Unless otherwise specified in your sign-up 
flow, checkout, Account settings, or a separate written agreement:
• if there is a Gopaddi subsidiary or affiliate incorporated or registered in the 
country where you are resident, that local subsidiary or affiliate will be the 
Gopaddi Contracting Entity; and
• if there is no such local subsidiary or affiliate, the Company Contracting Entity 
will be Gopaddi Technologies Corp or another Gopaddi Group entity designated 
and notified to you from time to time.

1.6 “Gopaddi Group” means Gopaddi Technologies Corp and any of its present and 
future affiliates, branches, subsidiaries, assignees, or successors worldwide.

1.7 “Operating System” or “OS” means the entire Company ecosystem, encompassing 
all its websites, mobile applications, dashboards, APIs, features, functionalities, and 
integrated services.

1.8 “Supplier” means any third-party business or legal entity providing Supplier 
Services on the OS, including but not limited to hotels, restaurants, venues, event 
organizers, nightlife providers, tour operators, and travel agencies.

1.9 “Supplier Services” means the products and service offerings provided by 
Suppliers to Users via the OS, including but not limited to hotel and hospitality services, 
events, nightlife experiences, and travel and tourism services.

1.10 “User” means an individual end-customer using the OS to discover, book, purchase, 
or consume Supplier Services.

2. LANGUAGE

2.1 English is the original version of these Terms and the primary language for 

communication between Gopaddi and Users. If there is any discrepancy between a 
translated version and the English version, the English version shall prevail unless 
mandatory local law requires otherwise.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Account Eligibility, Security and Responsibility

3.1.1 You are required to provide current and complete information when creating and 
using your Account.

3.1.2 By using or accessing the OS, you represent and warrant that:
• you are at least 18 years old (or the age of majority in your jurisdiction);
• all information you provide to Gopaddi is and will remain accurate and complete;
• you will comply with these Terms and all applicable laws, rules, and regulations 
of the jurisdictions in which you are located and where Supplier Services are 
consumed.
• You will not impersonate anybody while accessing or using our operating 
system.
• You will not create an account for someone else without their express approval
 
3.2 Account Credentials

3.2.1 When you register for an Account, you will be asked to provide credentials 
including (as applicable) your name, phone number, email address/user ID, , and a 
password. You agree to:
• keep your password and account credentials confidential;
• notify us promptly if you become aware of unauthorized use of your Account or a 
security breach; and
• accept responsibility for activities under your Account, whether authorized or 
unauthorized, to the extent permitted by law.

3.2.2 We may suspend, limit, or terminate your Account (and/or restrict certain 
Services) where we reasonably believe you:
• violate these Terms;
• engage in or are suspected of engaging in fraudulent, illegal, or abusive activities; 
or
• jeopardize the security, integrity, or reputation of the OS.

3.2.3 You may deactivate or delete your Account at any time by following the 
procedures on the OS. Data handling upon deletion is governed by our Privacy 
Statement.

4. USER ONBOARDING AND COMPLIANCE

4.1 Onboarding and Verification. We may require email/phone verification and, for 

certain features (e.g., high-risk transactions, regulatory requirements, fraud prevention
or age-restricted services, or ), additional verification.

4.2 Accurate information. You must ensure the information you provide (including 
traveler details) is accurate. You are responsible for consequences of incorrect 
information (e.g., denied entry, missed reservations).

4.3 Communications. You agree to receive essential service communications (security 
notifications, receipts, booking confirmations). You can manage marketing preferences 
where permitted by law.

4.4 Privacy consent. You consent to Company collecting, using, and disclosing personal 
information in accordance with Gopaddi’s Privacy Statement and Cookies Policy and 
applicable privacy laws.

5. ROLE OF GOPADDI & USER RESPONSIBILITIES

5.1 Gopaddi’s Role (Scope and Limitations)

5.1.1 Gopaddi provides Company Services as a technology platform. Gopaddi:
• facilitates discovery, listing, booking, and ordering of Supplier Services;
• provides tools for managing bookings, itineraries, and communications; and
• supports payment processing via third-party processors.

5.1.2 Gopaddi does not:
• own, operate, or manage Supplier businesses (unless expressly stated);
• provide the underlying hotel, food, travel, or event services itself (unless 
expressly stated);
• supervise or control Supplier personnel; or
• make any representation or warranty about the quality, safety, legality, or fitness 
for purpose of Supplier Services.

5.1.3 Your contract for Supplier Services.
Unless expressly stated otherwise, you enter into a direct contractual relationship with 
the Supplier for Supplier Services. Gopaddi is not a party to that contract, except to the 
limited extent it facilitates payments or customer support.

5.2 User Responsibilities (Legal, Operational & Conduct)
You are responsible for:
• complying with applicable laws and venue rules;
• ensuring traveler/booking details are correct;
• arriving on time and complying with Supplier policies;
• treating Suppliers and other users respectfully and without discrimination;
• not circumventing the OS to avoid fees for bookings initiated via the OS.

6. CONTENTS, USAGE RIGHTS AND PROPRIETARY RIGHTS

6.1 Company Content

6.1.1 Gopaddi retains all rights, title, and interest in and to all content it provides 
(including text, designs,images, templates, videos, AI-generated content, , , and 
software) (“Company Content”), including all associated intellectual property rights.

6.1.2 Gopaddi grants you a limited, non-exclusive, non-transferable, revocable, royaltyfree license to access and use Company Content solely for your personal, lawful use of the OS.

6.2 User Content and AI-Assisted Content

6.2.1 If you upload or submit content (e.g., reviews, photos, messages) you represent 
you have the rights to do so and it does not violate law or third-party rights.

6.2.2 Where the OS provides AI-assisted recommendations or outputs (e.g., itineraries, 
recommendations), such outputs are provided for convenience and informational 
purposes and may not be complete or accurate.

6.3 Ownership of Services

6.3.1 Company retains ownership of all rights in the OS, including technology, content, 
trademarks, logos, and software.

6.3.2 You must not monitor, copy, scrape/crawl, download, reproduce, or otherwise use 
anything on our OS for commercial purposes without our written permission.

7. RESTRICTIONS ON USE

You agree not to:

• use the Company Services in a manner not authorized by these Terms;
• impair, disable, overburden, or damage the OS;
• attempt to gain unauthorized access through hacking or password mining;
• submit or transmit unlawful, obscene, abusive, discriminatory, , threatening, 
defamatory,, or otherwise inappropriate material;
• resell or commercially exploit the Services;
• reverse engineer or attempt to discover source code or underlying algorithms, 
except where permitted by law.

8. CONFIDENTIALITY

8.1 You may receive certain confidential information of Gopaddi in connection with and 

in relation to use of the Company Services and you hereby agree:
 
8.1.1 to hold and maintain in strict confidence all confidential information of Gopaddi 
and not to disclose it to any third party; and
 
8.1.2 not to use any confidential information of Gopaddi except as permitted by these 
Terms or as may be necessary to exercise rights or perform obligations under 
these Terms. In the event that you disclose or are required to disclose 
confidential information, you shall provide immediate notice to Gopaddi prior to 
any disclosure to afford it a reasonable opportunity to protect the confidential 
information from public disclosure and will reasonably assist it with such 
protection.
 
8.1.3 Except as expressly provided in these Terms, if you disclose or use (or threaten to 
disclose or use) any confidential information of Gopaddi in breach of 
confidentiality protections hereunder, Gopaddi shall have the right, in addition to 
any other remedies available to it, to take legal action against you.

9. BOOKINGS, PAYMENTS AND FEES

9.1 Bookings. When you place a booking/order, you agree to the Supplier’s terms 

shown at checkout (including house rules, cancellation/refund rules, and any 
restrictions).

9.2 Payment Terms and Methods. Payments are processed via third-party payment 
providers. We may not store sensitive payment information beyond what is necessary 
for processing, and only in a secure/tokenized form.

9.3 Payment Confirmation. You will receive a confirmation notification at the email 
address or phone number associated with your Account.

9.4 Refund and Cancellation. Refunds, credits, and cancellations are governed by the 
policy shown at checkout and/or the Supplier’s policy, except where mandatory law 
provides otherwise.

9.5 Processor Issues. We are not responsible for losses arising directly or indirectly 
from lack of authorization, processor outages, or transaction declines, except as 
required by law.

9.6 Taxes and Currency. Prices may include or exclude taxes depending on the location 
and product, and currency conversion rates may apply. You are responsible for any 
taxes or charges mandated by applicable law.

10. USER CONDUCT

10.1 Users must interact respectfully with Suppliers and other Users and refrain from 

harassment, hate speech, or offensive behavior.

10.2 Users must not:
• engage in fraudulent activity or misrepresentation;
• share sensitive personal information unlawfully;
• disrupt the OS’s functionality.

10.3 Gopaddi may issue warnings, restrict features, suspend, or terminate Accounts 
based on the severity of misconduct.

11.THIRD-PARTY INTERGRATIONS

1.1. Integration with Third-Party Services 

Gopaddi integrates with select third-party services, which are governed by their 
respective terms. Users:
1.1.1. must review and comply with third-party terms independently;

1.1.2. agree that Gopaddi is not liable for third-party service performance or 
disruption;

1.1.3. acknowledge that data shared with third-party services is subject to their 
privacy policies; and

1.1.4. agree not to hold Gopaddi liable to any action with any third-party

12. SOCIAL MEDIA AND THIRD-PARTY WEBSITES

12.1. The OS offers a service that allows us to access or use any profile or other information about you that you have provided to a social media site, 

and you decide to use such tool or service, you acknowledge and agree that:

12.1.1. the content or information that is a part of your social media site profile, 
which is designated as “public” (hereinafter referred to herein as “Social 
Media Content”), may be accessed and used by us in connection with our 
Company Services.

12.1.2. the Social Media Content will be considered content under these Terms 
and both you and we shall have the same rights and responsibilities as you 
that we have with respect to your content under these Terms.

12.1.3. in the event that the Social Media Content was misclassified for any 
reason with a public or similar designation or is otherwise inaccurate, you 
agree to work with the Social Media site to make any changes or resolve any 
disputes and acknowledge that Gopaddi will not be liable to provide you 
with recourse, and the operation of your profile and account with and on the 
social media site shall continue to be governed by the terms and conditions 
and privacy policy of such social media site.

13.COMMUNICATION AND NOTIFICATIONS

13.1. Gopaddi strives to respond to Users’ inquiries within a reasonable 

business timeframe, typically within 2-business days, depending on the nature 
of the communication.

13.2. Notices will be deemed given when sent by email to the address 
associated with User’s Account or via the OS.

14.WARRANTY DISCLAIMER

14.1. Gopaddi makes no representations or warranties of any kind, whether 

express, implied, statutory, or otherwise as to the performance, functionality or 
legal compliance of the Company Services. The Company Services are provided 
“as is” and on an “as available” basis, exclusive of any warranties whatsoever, 
express or implied, including, without limitation, any warranty for information, 
data, data processing services, uptime or uninterrupted access, any warranties 
concerning the availability, accuracy, usefulness, correctness, precision, 
thoroughness, completeness or content of information, and any warranty of title, 
merchantability, bitness for a particular purpose or non-infringement.
 
14.2. Gopaddi makes no warranty or representation that:
 
14.2.1. the Company Services will always be secure, error-free, or timely;

14.2.2. the Company Services will function without delays, disruptions, or 
imperfections; or

14.2.3. any content, user content, or information you obtain on or through the 
Company Services will be timely or accurate.

14.3. Gopaddi, its afbiliates, and licensors shall not have any responsibility or 
assume any liability for any content created, uploaded or stored by Suppliers, 
Users or third parties.

15. INDEMNITY

15.1. To the maximum extent permitted by law, you agree to indemnify and 

hold harmless Gopaddi from claims arising out of your misuse of the Services, 
breach of these Terms, or infringement of third-party rights.

16. LIMITATION OF LIABILITY

16.1. To the maximum extent permitted by law, Gopaddi will not be liable for 

indirect, incidental, special, consequential, or punitive damages.

16.2. Where permitted by law, Company’s total liability will not exceed the 
greater of: (a) the amount you paid to Company (excluding amounts paid 
directly to Suppliers) in the 12 months before the event giving rise to the claim; 
or (b) USD $100.

16.3. Some jurisdictions do not allow certain limitations; in those jurisdictions, 
liability will be limited to the minimum extent permitted by law.

17. COLLABORATION SERVICES

17.1. From time to time, Gopaddi may facilitate introductions or referrals 

between Users and other parties (“Collaboration Services”).

17.2. Company does not act as an agent, guarantor, or controller of any third 
party in connection with Collaboration Services.

17.3. Any relationship or transaction resulting from Collaboration Services is 
solely between you and the relevant third party.

19.MISCELLANEOUS

19.1. Updates to Terms.
 

19.1.1. Gopaddi reserves the right, in its sole discretion, to modify, update, 
change, or amend these Terms or the Company Services at any time. Any 
change or update will become effective from the moment Gopaddi notifies 
you of such changes, which Gopaddi may do so via the Company Services, 
email, publication on Gopaddi’s website in-app notifications or any other 
method Gopaddi deems appropriate. Your continued use after any such 
modification or change is made, constitutes your acceptance of such 
modification or change.

19.2. Changes to Price

19.2.1. Gopaddi reserves the right to change the pricing structures for 
subscription plans. Users will be notibied of any changes, and they will have 
the option to opt out if they do not agree with the updated terms.

19.3. Account Suspension or Termination

19.3.1. Gopaddi reserve the right to suspend or terminate a User's account 
without prior notice in the event of a breach of our Terms.

19.4. Waivers, and Waiver of Provisions

19.4.1. Gopaddi’s failure to exercise or delay in exercising any right or remedy 
shall not constitute a waiver, and any waiver granted must be in writing and 
executed by the party against whom enforcement is sought. A waiver of 
specibic provisions does not extend to other provisions or subsequent 
breaches.

19.5. Severability

19.5.1. In the event that any provision in these Terms is deemed invalid, illegal, 
or unenforceable in any respect by a court of competent jurisdiction, the 
validity, legality, and enforceability of the other provisions herein shall not 
be affected or impaired in any way.
 
19.5.2. if any provision of these Terms is prohibited or rendered unenforceable 
under the applicable law, such provision shall be ineffective only to the 
extent and duration of the prohibition or unenforceability, without 
invalidating the remaining provisions of these Terms.

19.6. Headings

19.6.1. The headings in these Terms are for reference only and shall not affect the 
interpretation of these Terms.

19.7. Notice; Communications from Company.
 
19.7.1. All notices must be in writing. Notice will be deemed given and effective 
on the date transmitted by email.
 
19.7.2. All notices to you may be communicated by Gopaddi in several ways 
including, but not limited to, through email (to the email address linked to 
your account) or through the Company Services themselves. You 
acknowledge and agree that Gopaddi may send you communications or 
information related to the Company Services, which may include, but are 
not limited to, your use or violation of use, updates, and promotional 
information and materials.

19.8. Assignment.
 
19.8.1. You may not transfer or assign the Terms or any of your interests, rights, 
or obligations under the Terms without the prior written consent of 
Gopaddi. Gopaddi reserves the right to transfer or assign the Terms or any 
rights or obligations under the Terms at any time. Subject to the foregoing, 
the Terms shall bind and inure to the benefit of the parties, their respective 
successors, and permitted assigns.

19.9. Survival

19.9.1. Your obligations under these Terms that by their nature would continue 
beyond the termination of these Terms, including but not limited to those 
sections relating to indemnification, confidentiality, limitation of liability, 
intellectual property, warranties, general provisions, use of Company
Services, payment, will survive any termination of these Terms. Additionally, 
all representations, warranties, and covenants herein and in these Terms 
will survive the execution and delivery of these Terms and will continue in 
full force until all obligations under these Terms have been satisfied in full 
and these Terms are terminated as a result.
